Terms of Service

1. Acceptance of Terms
By accessing or using Nox ("the Service"), provided by NoxSoft Inc. ("Company"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
Nox is an AI-powered operations platform that provides automated task management, HR operations, financial oversight, voice interface, and related business intelligence services. The Service operates through conversational AI, integrations with third-party tools, and autonomous task execution with human oversight.
3. Account Registration
You must create an account to use Nox. Accounts are secured via WebAuthn/passkey authentication. You are responsible for maintaining the security of your authentication credentials and for all activities that occur under your account.
4. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with other users' use of the Service
- Reverse engineer, decompile, or disassemble the Service
- Use the Service to process data in violation of applicable laws
- Attempt to extract or replicate the AI models underlying the Service
5. Data Ownership
You retain all rights to your data. Nox processes your data solely to provide the Service. We do not claim ownership of any content you provide. See our Privacy Policy for details on how we handle your data.
6. AI-Generated Content
Nox generates suggestions, reports, and takes actions based on AI analysis. While we strive for accuracy, AI outputs may contain errors. You are responsible for reviewing and approving AI-generated content and actions before they take effect. Nox is designed with human-in-the-loop oversight—critical actions require your approval.
7. Integrations
The Service integrates with third-party tools (Slack, GitHub, Salesforce, etc.). Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability or functionality of third-party services.
8. Nexus Network
If you enable the Nexus Network (Digital Davos), your Nox instance may share anonymized organizational capabilities with other Nox instances. All partnerships suggested through the network require explicit human approval. You can disable Nexus Network participation at any time.
9. Subscription and Payment
Nox is offered on a subscription basis. Pricing, features, and billing terms are described on our pricing page. You agree to pay all fees associated with your selected plan. Subscriptions renew automatically unless cancelled before the renewal date.
10. Free Trial
We may offer a free trial period. At the end of the trial, you must subscribe to continue using the Service. We will not charge you without prior notification and your affirmative consent.
11. Limitation of Liability
To the maximum extent permitted by law, NoxSoft Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless NoxSoft Inc. from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.
13. Termination
Either party may terminate the agreement at any time. Upon termination, your right to use the Service ceases immediately. We will provide a reasonable period to export your data before deletion.
14. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated at least 30 days in advance. Continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
